01Acceptance of Terms

These Terms form a legally binding agreement between you and Back Lot Trailers Pty Ltd ("we", "us", or "Backlot Live"). By creating an account, completing onboarding, or otherwise using the Platform, you confirm that you have read, understood, and agree to these Terms.

If you are using the Platform on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms.

02Description of Services

Backlot Live™ is a film and television production management platform that provides digital tools for crew onboarding, timesheet management, payroll processing, transport dispatch, catering management, emergency muster, and related production operations.

The Platform is provided as a software-as-a-service (SaaS) and access is subject to a valid software licence agreement and payment of applicable fees.

03User Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Be employed by, or engaged as a contractor for, a production company that has an active Backlot Live licence
• Provide accurate and complete information during onboarding
• Have the legal capacity to enter into a binding agreement

We reserve the right to suspend or terminate accounts that do not meet these eligibility requirements.

04Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform for any illegal, fraudulent, or unauthorised purpose
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Use automated tools (bots, scrapers, crawlers) to access or collect data from the Platform
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure
• Upload or transmit any virus, malware, or other harmful code
• Harass, abuse, or threaten other users
• Impersonate any person or entity
• Use the Platform in a way that could damage, disable, or impair its performance

05Account Responsibility

You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately at info@backlotlive.com.au if you become aware of any unauthorised use of your account.

You must not share your account credentials with any other person. Each Authorised User must have their own account.

06Intellectual Property

The Platform, including all software, designs, content, trade marks, and other intellectual property, is owned by Back Lot Trailers Pty Ltd and is protected by Australian and international intellectual property laws.

You are granted a limited licence to use the Platform as described in your Software Licence Agreement. Nothing in these Terms transfers any intellectual property rights to you.

The trade mark BACKLOT LIVE™ is the property of Back Lot Trailers Pty Ltd. You may not use this mark without our prior written permission.

07Disclaimer of Warranties

To the maximum extent permitted by law, the Platform is provided "as is" and "as available" without warranty of any kind. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

We do not warrant that the Platform will meet your specific requirements or that any errors will be corrected. You use the Platform at your own risk.

Nothing in these Terms excludes statutory guarantees under the Australian Consumer Law that cannot be excluded.

08Limitation of Liability

To the maximum extent permitted by law, Back Lot Trailers Pty Ltd's total liability to you arising from these Terms or your use of the Platform is limited to the amount you paid for the Platform in the 3 months preceding the event giving rise to the claim.

We are not liable for any indirect, consequential, incidental, or special damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Platform.

09Third-Party Links

The Platform may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites. Links do not constitute our endorsement of those sites.

10Termination

We may suspend or terminate your access to the Platform at any time if you breach these Terms, your employer's licence expires, or your employment on the relevant production ends.

You may stop using the Platform at any time. Termination does not affect the survival of clauses that by their nature should survive (confidentiality, intellectual property, liability limitations).

11Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes will be resolved in Queensland courts, and you submit to the non-exclusive jurisdiction of those courts.
